Meddle
1. Service and features
Meddle (the “Platform”) is a SaaS service (the “Service”) operated by Aleskc, a French simplified joint-stock company (SAS), registered with the Paris Trade and Companies Register under number 982 305 492.
The Platform enables the modeling of garments based on visuals provided by the professional user (the “User”) and the generation of AI images.
The Service includes image modeling, generation and editing tools, within the limits of the number of modelings and photo credits set out in the commercial offer or in the invoice validated by both parties.
2. Access to the Platform
- Access to the Platform requires a user account. The User is responsible for their credentials and must report any unauthorized access.
- Access is granted for twelve (12) months, unless renewed or terminated earlier.
- The Platform may suspend an account in the event of a security risk or non-compliance with these Terms of Use.
- The Service is reserved for adult professionals.
3. License and prohibited uses
The User is granted a personal, non-exclusive and non-transferable license to use the Platform.
The following are prohibited:
- copying, modifying, decompiling, or circumventing the Platform;
- unauthorized automated access;
- sharing or transferring credentials;
- any unlawful content or content infringing third-party rights.
Any breach may result in suspension or termination of access.
4. Intellectual property and content
- The Platform and its components remain the exclusive property of the publisher.
- The User remains the owner of the content they provide and holds a professional right of use over the generated images, subject to third-party rights.
- The User grants the Platform a limited license solely for the technical needs of the Service. Content is not used to train the models without consent.
- The Platform does not guarantee the originality of generated images, nor the absence of accidental similarities with existing works, trademarks, or persons.
- Unless the User objects, the Platform may use certain generated visuals to demonstrate the Service and may cite the User as a commercial reference. This authorization excludes content identified as confidential and may be withdrawn at any time.
5. User responsibility
- The User is responsible for the content they provide (including source visuals) and for the images they generate. The User warrants that they have the necessary rights and refrains from any unlawful content or use, or any content/use that infringes third-party rights.
- The User carries out all necessary checks for the intended uses, especially for high-stakes editorial or advertising uses.
- The Platform may remove unlawful content and suspend access in the event of a breach.
- The User shall indemnify the Platform against any claim related to the User’s content or use of the Service.
6. Platform liability
- The Platform is only liable for direct damages resulting from a proven breach. Indirect damages are excluded.
- Total liability is limited to the amounts paid by the User for the Service during the last three (3) months, capped at €15,000. This limitation does not apply in cases of fraud or bodily injury.
- Any claim must be made within thirty (30) days of discovering the issue.
7. Availability and maintenance
The Platform endeavors to ensure access to the Service, but interruptions may occur due to maintenance, updates, or incidents.
No service level is guaranteed without a specific SLA.
The Platform is not responsible for interruptions caused by third parties or force majeure.
8. Personal data
The Platform processes the data necessary for account management, billing, security, and operation of the Service.
For content containing personal data, the User acts as data controller and the Platform acts as data processor.
Data may be shared with technical service providers and may be subject to regulated transfers outside the EU. Data is retained for the duration of the contractual relationship, and thereafter in accordance with legal obligations.
The User may exercise their GDPR rights through the provided means.
Provided content may also be used in anonymized form for internal purposes, statistics, or Service improvement.
9. Termination
The Platform may suspend or terminate access in the event of a breach of these Terms, unlawful use, or security risk, with notice where possible.
The User may delete their account at any time. Certain data may be retained if required by law.
Upon termination, use of the Service ceases and content may be deleted or anonymized in accordance with operational timeframes.
Clauses intended to survive termination shall remain in effect.
10. Late payment penalties – Fixed compensation – Suspension
- Late payment interest. Any late payment on the due date automatically and without prior notice gives rise to late payment interest at the ECB rate plus 10 percentage points, accruing from the day after the due date until full payment is made.
- Debt recovery costs. Pursuant to Articles L.441-10 and D.441-5 of the French Commercial Code, a fixed compensation of €40 is automatically due per invoice paid late, without prejudice to additional compensation supported by evidence if the costs incurred exceed this amount.
- Suspension. In the event of total or partial non-payment on the due date, the Service Provider may, after written notice that remains ineffective for seven (7) calendar days (email or letter), suspend access to the service until all sums due have been paid in full.
- Acceleration (optional). In the event of a delay exceeding thirty (30) days, the Service Provider may, after formal notice remains unsuccessful, declare immediately due the outstanding sums, without prejudice to its right to terminate the contract under the conditions set out in the “Termination” clause.
11. Governing law and disputes
These Terms are governed by French law.
Any dispute falls within the exclusive jurisdiction of the Paris Commercial Court (Tribunal de commerce de Paris), unless otherwise required by mandatory law.
12. Changes to the Terms
These Terms may be amended:
- material changes are notified fifteen (15) days before they take effect, and the User may terminate in case of refusal;
- minor changes apply immediately.
